Welcome to Xecutely. By subscribing to or using any of our services, you (“User,” “you,” or “your”) agree to be bound by these Terms & Conditions (“Terms”). These Terms govern your use of Xecutely’s website, managed VA services, automation services, and the Xecutely Academy training platform.

Xecutely is a brand of Xecutely LLC, headquartered in New York, USA, providing AI-assisted virtual staffing, workflow automation, and training services. By creating an account, purchasing a service package, enrolling in the Academy, or otherwise engaging with Xecutely, you acknowledge that you have read, understood, and agreed to these Terms.

Xecutely provides the following services:

• Virtual Assistant Placement – Matching clients with pre-trained, AI-assisted VAs.
• Pod Teams – Multi-member, managed VA teams for agencies and enterprise clients.
• Automation Setup – Configuration of AI-based workflows and tool integrations.
• Client Dashboards — Transparent reporting of tasks, hours, and service performance.
• Xecutely Academy — A paid, tier-based training program for virtual assistants (see Section 13 for Academy-specific terms).
• Support & QA Management — Quality assurance, client reporting, and service optimization.

Important Disclaimer: Xecutely is a managed outsourcing platform, not an employer. All virtual assistants operate as independent contractors under U.S. and Philippine laws. Xecutely acts as a coordinator between clients and contractors, ensuring training quality, compliance, and service reliability. Xecutely is not liable for the independent actions of VAs or external vendors.

3.1 Accurate InformationYou must provide accurate and complete information during registration, onboarding, enrollment, or when requesting services. You are responsible for maintaining the confidentiality of your credentials and all activities under your account.
3.2 Legal & Ethical ComplianceUsers must comply with applicable labor laws, data protection regulations (including GDPR and CCPA), and fair labor practices. Xecutely prohibits use of its services for illegal, unethical, or deceptive activities.
3.3 Prohibited ActivitiesYou may not use Xecutely or the Academy to:

• Engage in fraud, harassment, or abuse toward staff, VAs, students, or clients.
• Violate labor, data protection, or anti-spam laws.
• Share or request access to confidential data not required for work or training.
• Circumvent Xecutely’s systems, payment channels, or contracts.
• Use VAs or Academy resources for unlawful, adult, or violent content.
• Reproduce, sell, distribute, or share Academy training content with non-enrolled individuals.
• Misrepresent your qualifications, identity, or intentions during enrollment or service use.

3.4 Enforcement & SuspensionXecutely reserves the right to suspend or terminate client, student, or VA accounts at any time for violations of these Terms, unethical behavior, or non-payment. Suspensions may occur without prior notice in cases of serious misconduct.

4.1 FeesAll services are billed in advance and are non-refundable, unless otherwise stated in writing. Pricing is based on selected plans (Basic, Pro, or Enterprise) or agreed custom packages for client services, and on selected tiers (Beginner, Pro, or Expert) for Academy enrollment.
4.2 Payment MethodsPayments are processed securely through Stripe. Clients are responsible for ensuring valid payment information is on file at all times.
4.3 Client Service RenewalsAll active client service plans renew automatically on a monthly basis unless canceled prior to the renewal date. Renewal rates reflect the current plan pricing.
4.4 CancellationsYou may cancel any active subscription via written notice to support@xecutely.com or through your client dashboard. Cancellation takes effect at the end of the current billing cycle. No partial refunds are issued for unused time within a billing period.
4.5 Refund PolicyBecause VAs and automation services are provided in real-time, Xecutely does not issue refunds for unused hours, delays, or dissatisfaction after service has begun. For the Academy refund policy, see Section 13.5. Exceptions are made only for proven service delivery failures as determined by Xecutely management.

6.1 By XecutelyXecutely may suspend or terminate accounts immediately if you violate these Terms or applicable laws, engage in abusive or fraudulent activity, or fail to make timely payments.6.2 By UserYou may terminate your account at any time. Termination becomes effective at the end of your current billing cycle for subscription services, or immediately for Academy enrollment (without refund for remaining content access).6.3 Post-TerminationUpon termination, you lose access to your dashboard, Academy content, and any stored reports. Xecutely will retain limited data for audit and compliance purposes as described in our Privacy Policy.

Xecutely collects and processes personal data as outlined in our Privacy Policy. We comply with global privacy standards including GDPR, CCPA, and the Philippine Data Privacy Act. Users are responsible for ensuring lawful handling of any third-party data shared with VAs or through Xecutely systems.

Xecutely implements strict data security protocols including:

• Two-Factor Authentication (2FA) for all internal accounts
• Encrypted cloud storage for client, student, and VA data.
• Access control by role (Client, VA, Admin)
• Periodic internal security reviews.

All VAs are required to sign a Non-Disclosure Agreement (NDA) prior to assignment.

Xecutely may use third-party vendors to enhance functionality:

• Hosting: Vercel, GitHub
• Payments: Stripe
• CRM & Funnels: GoHighLevel (GHL)
• Analytics: Google Analytics, Meta Pixel
• Integrations: Notion, WhatsApp, Calendly, Google Workspace, Canva

These third parties access data only as needed to perform their services under strict confidentiality.

All Xecutely services, including the Academy, are provided “as is” and “as available.” We make no warranties regarding: the uninterrupted availability of services; specific outcomes, revenue results, or job placement for any user; third-party tool uptime or performance; or Academy completion leading to employment at any specific rate or with any specific employer.

To the maximum extent permitted by law, Xecutely is not liable for: business interruption, lost profits, or data loss; delays or disruptions caused by external providers; misuse or unauthorized sharing of data by VAs, clients, or students; or any reliance on income projections, testimonials, or case studies shared in marketing materials. Your exclusive remedy for dissatisfaction is discontinuation of services.

12.1 Age RequirementsXecutely’s services and the Academy are not intended for individuals under 18 years of age. If we discover that a minor has submitted personal data or enrolled, the account will be terminated and data deleted immediately.12.2 ModificationsWe may revise these Terms at any time. Updates will be posted on our website with a new “Last Updated” date. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.12.3 Governing Law & Dispute ResolutionThese Terms are governed by and construed in accordance with the laws of the State of New York, USA. Any disputes shall be resolved exclusively in the state or federal courts located in New York County, NY.12.4 SeverabilityIf any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.12.5 Entire AgreementThese Terms, together with the Privacy Policy, Cookie Policy, Refund & Cancellation Policy, Academy Terms & Conditions, and Earnings Disclaimer, constitute the entire agreement between you and Xecutely, superseding all prior versions and understandings.

The following terms apply specifically to users enrolling in the Xecutely Academy VA Training Program, in addition to all terms above.13.1 Enrollment & AccessBy enrolling in the Xecutely Academy, you agree to these Terms and confirm that you are at least 18 years of age. Enrollment is confirmed upon successful payment of the applicable tier fee through Stripe. Upon enrollment, you receive access to the training content for your selected tier as modules become available.13.2 Training TiersThe Academy offers three tiers: Beginner, Pro, and Expert. Each tier includes specific training modules, assessments, and resources as described on the Academy enrollment page. Xecutely reserves the right to update, modify, or expand curriculum content at any time to improve training quality.13.3 Content DeliveryAcademy content is delivered on a rolling basis. Modules are released progressively and students receive lifetime access to all content within their enrolled tier. Xecutely also offers free monthly live lectures for all paid students. Delivery schedules are estimates, not guarantees.13.4 No Guarantee of Employment or IncomeCompletion of the Xecutely Academy does not guarantee job placement, employment, or any specific income level. Placement into the Xecutely VA network or referral to partner agencies depends on performance, demand, availability, and client requirements. Any income figures, success stories, or earnings examples referenced in marketing materials are illustrative only and represent individual results that may not be typical. Your results will vary based on your effort, skills, market conditions, and other factors outside Xecutely’s control. See our separate Earnings Disclaimer for full details.13.5 Academy Refund PolicyAll Academy enrollment fees are non-refundable once course access has been granted. Because training materials are digital and accessible immediately upon payment, refunds cannot be issued after enrollment is confirmed. If you experience a technical issue preventing access, contact support@xecutely.com and we will resolve the issue promptly.13.6 Acceptable BehaviorAcademy students are expected to:

• Engage respectfully with instructors, fellow students, and staff in all communications and live sessions.
• Complete training honestly without plagiarism, cheating on assessments, or misrepresenting completion.
• Use Academy content solely for personal learning and skill development.
• Not share login credentials, training materials, or session recordings with non-enrolled individuals.

Violations of acceptable behavior may result in suspension or termination of Academy access without refund.13.7 Student Data ProtectionStudent personal data (name, email, payment details, training progress) is stored securely using encrypted systems. Payment data is processed by Stripe and is never stored on Xecutely servers. Student training records (quiz scores, module completion) are retained for the duration of enrollment plus 24 months, after which they are anonymized or deleted.
